This article is a nice introduction to profit vs. non-profit. For more articles for start-ups and taxation issues, see the web site of the law firm of one of the attorneys quoted above. Charles Wry at Morse, Barnes-Brown & Pendleton, a firm that advises lots of Massachusetts startups. Especially relevant is his article titled: Choosing the Proper form of Organization for a New Business Venture.

One additional advantage to using a nonprofit format is in the ability to pay substantial compensation to employees for services rendered. The compensqtion must be reasonable under the circumstances, but there are no shareholders to second guess the compensation decisions. On the other hand, the Internal Revenue Service can object that compensation awarded is unreasonable under the circumstances.
